Role Summary:
The Legal Counsel will play a key role in strengthening Infosys’ enterprise‑wide integrity and compliance framework and be part of the Regulatory Governance and Advisory team. The role involves independent ownership of core compliance programs, regulatory governance, and advisory responsibilities across India and global jurisdictions, with a strong focus on listed‑entity compliance, incident management, ESG and technology‑enabled compliance operations. The role requires a legally sound, analytically strong professional capable of partnering with senior stakeholders and driving a culture of ethics, transparency, and regulatory excellence across the organization.
Experience & Qualification:
- Law graduate with 6+ years of relevant experience in corporate legal and compliance roles
- Prior experience in listed company compliance, regulatory reporting, and multi‑jurisdictional compliance environments
- Exposure to technology‑enabled legal and compliance processes is strongly preferred
Key Responsibilities:
1. Regulatory & Listing Compliance
: Independently oversee regulatory and listing compliance for the Company, including review, governance, and oversight of statutory records and regulatory filings under India and U.S. securities laws, insider trading regulations, and applicable disclosure frameworks.
- Apply sound legal judgment in interpreting and implementing SEBI (LODR) Regulations, including assessment of materiality, continuous disclosure obligations, and periodic reporting requirements, in close coordination with Finance, Company Secretariat, and senior management.
- Support high‑quality, defensible public disclosures and regulatory submissions, including inputs to stock exchange filings and Form 20‑F, aligned with evolving regulatory expectations and industry practices.
2. ESG Governance & Compliance
: Support integration of ethics, compliance, and regulatory assurance into Infosys’ ESG (Governance) framework, including BRSR‑aligned disclosures and ESG Council reporting. Partner with cross‑functional teams to strengthen governance‑led ESG outcomes, support engagement with ESG rating agencies, and enhance transparency, policy maturity, and stakeholder trust.
3. Technology and AI enabled Compliance
: Lead and drive the adoption, optimization, and governance of technology‑enabled compliance tools, workflows, and dashboards to enhance efficiency, traceability, data integrity, and enterprise‑wide compliance oversight.
4. Compliance Risk Identification & Mitigation
- Identify, assess, and monitor potential compliance and regulatory risks across business operations.
- Develop and implement mitigation strategies, process improvements, and internal controls to ensure adherence to internal policies and regulatory requirements.
5. Stakeholder & Authority Engagement
- Liaise with regulatory authorities, government bodies, auditors, and external law firms, ensuring accurate, timely, and consistent regulatory engagement.
- Partner with internal stakeholders to deliver practical, business‑aligned compliance solutions.
6. Regulatory Responses & Enforcement Matters
- Support development of Company responses and defenses to regulatory queries, inspections, and enquiry proceedings, particularly from a listing‑compliance and disclosure perspective.
7. Subject Matter Expertise & Internal Enablement
- Act as a subject matter expert on key compliance and regulatory domains, including:
- Listing Regulations (India & US)
- Insider Trading
- ESG compliance
- Provide guidance and support to internal teams such as Finance, Legal, HR, Marketing, and Risk on statutory and regulatory compliance matters.
8. Analytical & Problem‑Solving Capability
: Analyze complex legal and regulatory issues, identify gaps or risks, and recommend effective, practical solutions aligned with business objectives.
